Terms of Service and End User License Agreement

1. Acceptance of Terms
By creating an account, accessing, or using The Enquiry Project (the “Service” or “Application”), you (“User,” “you,” or “your”) agree to be legally bound by these Terms of Service and End User License Agreement (“Agreement”). Your electronic acknowledgement of this Agreement at the time of account creation constitutes a valid, binding, and enforceable agreement to these terms to the same extent as a physical signature. If you do not agree to these terms in their entirety, you may not access or use the Service.
2. Description of Service
The Enquiry Project is an artificial intelligence–based conversational application designed to facilitate thoughtful enquiry and improve the quality of human conversation. The Service is provided on an invitation-only basis. Access may be modified, suspended, or discontinued at any time without notice.
3. License Grant
Subject to your compliance with this Agreement, The Enquiry Project grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial purposes. No other rights are granted. All rights not expressly granted herein are reserved by The Enquiry Project.
4. License Restrictions
You may not, and may not permit any third party to:
- reproduce, copy, modify, translate, adapt, or create derivative works of the Service or any part thereof;
- reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Service;
- rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Service to any third party;
- remove or alter any proprietary notices, labels, or marks on the Service;
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- use the Service to transmit harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content;
- attempt to gain unauthorized access to any portion of the Service or any system or network connected to the Service;
- use automated means, including scripts, bots, or scrapers, to access or interact with the Service; or
- use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
5. User Accounts and Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify The Enquiry Project immediately upon becoming aware of any unauthorized access to or use of your account. The Enquiry Project shall not be liable for any loss or damage arising from your failure to comply with these obligations or from any unauthorized use of your account.
6. Intellectual Property
The Service, including without limitation its software, design, content, text, graphics, images, logos, features, and functionality, is owned by The Enquiry Project and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. This Agreement does not transfer to you any ownership interest in the Service. Any feedback, suggestions, or ideas you provide regarding the Service may be used by The Enquiry Project without restriction or compensation to you.
7. Artificial Intelligence and Third-Party Processing
The Service uses third-party artificial intelligence services, including OpenAI, to process and generate responses to your conversations. The Service may also use third-party web search services, including Tavily, to retrieve current information in connection with your queries. By using the Service, you acknowledge and consent that:
- your conversation content and queries may be transmitted to and processed by these third-party providers;
- such processing is subject to the third parties' own terms of service and privacy policies, which you are encouraged to review independently;
- The Enquiry Project does not control and is not responsible for the data practices, output, or conduct of these third-party providers; and
- outputs generated by artificial intelligence may be inaccurate, incomplete, biased, or otherwise unreliable, and should not be relied upon as a substitute for professional advice.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ENQUIRY PROJECT, ITS AUTHORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, HEIRS, AND ASSIGNS (“THE ENQUIRY PROJECT PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATION, OR SYSTEM, OR OPERATE WITHOUT INTERRUPTION, DELAY, OR ERROR; (C) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, OR TIMELINESS OF ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING ANY OUTPUT GENERATED BY ARTIFICIAL INTELLIGENCE; (D) ANY WARRANTY THAT DEFECTS OR ERRORS WILL BE CORRECTED; OR (E) ANY WARRANTY THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE ENQUIRY PROJECT OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
9. Disclaimer and Assumption of Risk
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (A) YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK; (B) THE ENQUIRY PROJECT MAKES NO GUARANTEES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT THE SERVICE WILL ACCOMPLISH ANY SPECIFIC PURPOSE, PRODUCE ANY SPECIFIC RESULT, MEET ANY SPECIFIC STANDARD, OR OPERATE WITHOUT ERROR; (C) THE ARTIFICIAL INTELLIGENCE FEATURES OF THE SERVICE MAY PRODUCE INACCURATE, INCOMPLETE, OR MISLEADING OUTPUTS, AND YOU SHOULD NOT RELY ON SUCH OUTPUTS FOR ANY CRITICAL DECISION WITHOUT INDEPENDENT VERIFICATION FROM A QUALIFIED PROFESSIONAL; AND (D) YOU ASSUME ALL RISK AND RESPONSIBILITY FOR ANY DECISIONS, ACTIONS, OR CONSEQUENCES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR YOUR RELIANCE ON ANY OUTPUT GENERATED BY THE SERVICE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE ENQUIRY PROJECT PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF THE ENQUIRY PROJECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT SHALL THE ENQUIRY PROJECT PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE PAID TO THE ENQUIRY PROJECT FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE DOLLAR ($1.00).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, the liability of The Enquiry Project shall be limited to the greatest extent permitted by applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless The Enquiry Project, its authors, officers, directors, employees, agents, licensors, service providers, successors, heirs, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of this Agreement; (c) your violation of any third-party right, including any intellectual property right, privacy right, or right of publicity; (d) your violation of any applicable federal, state, or local law, regulation, or ordinance; or (e) any content or materials you submit to or transmit through the Service. This indemnification obligation shall survive the termination or expiration of this Agreement and your use of the Service.
12. Governing Law
This Agreement and any dispute arising out of or relating to it or the Service shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any choice or conflict of law provision or rule. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Arizona, and the parties hereby consent to the personal jurisdiction and venue of such courts.
13. Dispute Resolution and Waiver of Class Action
Any controversy or claim arising out of or relating to this Agreement or the Service shall, at the election of either party, be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Tempe, Arizona. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
YOU AND THE ENQUIRY PROJECT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL WITH RESPECT TO ANY CLAIMS ARISING UNDER THIS AGREEMENT.
14. Modifications to Terms
The Enquiry Project reserves the right to modify or update this Agreement at any time in its sole discretion. Material changes will be communicated to you via email to your registered address or by prominent notice within the Service. Your continued access to or use of the Service following notice of any modification constitutes your acceptance of the modified Agreement. If you do not agree to the modified terms, you must discontinue your use of the Service.
15. Termination
The Enquiry Project may, in its sole discretion, suspend or terminate your access to the Service at any time, with or without cause or notice, and without liability to you. Upon termination: (a) all licenses and rights granted to you under this Agreement shall immediately terminate; (b) you must cease all use of the Service; and (c) provisions of this Agreement that by their nature should survive termination shall survive, including without limitation Sections 6, 8, 9, 10, 11, 12, and 13.
16. General Provisions
Entire Agreement. This Agreement constitutes the entire agreement between you and The Enquiry Project with respect to the Service and supersedes all prior and contemporaneous agreements, representations, and understandings.
Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. The failure of The Enquiry Project to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.
Assignment.You may not assign or transfer any of your rights or obligations under this Agreement without The Enquiry Project's prior written consent. The Enquiry Project may freely assign its rights and obligations hereunder.
Force Majeure. The Enquiry Project shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, natural disasters, labor disputes, or failures of third-party services.
